This Agreement establishes the terms under which the Partner (named above) is authorized to sell and facilitate alarm monitoring services provided by DEFENDR SECURITY ("Company"). The Partner operates as an independent contractor, not an employee, agent, or franchisee of the Company. The Partner is responsible for their own sales activities, equipment provisioning (unless purchasing wholesale through the Company), and initial customer onboarding.

The Company agrees to provide professional central station monitoring services to the Partner's acquired accounts at the following wholesale rate:

The Partner is free to set their own retail monitoring rates charged to the end-user customer. The difference between the retail rate collected from the customer and the wholesale rate billed by the Company constitutes the Partner's Monthly Recurring Revenue (RMR) profit margin.

The Company handles all backend billing and collections from the end-user customer on behalf of the Partner. The Company will deduct the agreed wholesale monitoring rate (per active account) and remit the remaining RMR profit to the Partner on a monthly basis. The Partner is not required to handle credit card processing or monthly invoicing for monitoring services.

The Partner is responsible for sourcing, selling, and installing alarm equipment for their customers. The Company is not liable for equipment warranties, installation defects, or service calls related to hardware provided by the Partner. If the Partner purchases AJAX Systems or Napco Prima equipment directly through the Company's wholesale channels, separate hardware terms apply.

The Partner may advertise themselves as an "Authorized Partner of Defendr Security." However, the Partner may not misrepresent themselves as the Company itself, nor make guarantees regarding emergency response times on behalf of the Central Monitoring Station.

This agreement is effective upon signature and remains active until terminated by either party with 30 days written notice. In the event of termination, the Partner's existing accounts will continue to be monitored, and the Partner will continue to receive their RMR split for the duration of those customers' active service, provided the Partner has not engaged in fraudulent activity or breached this agreement.
